I have noticed that Penguns are regularly sold on Ebay. The brand is Penguin,penguns that fire flares or tear gas. Are they legal??

This can be a sticky subject. Penguns, in general, come under the rules of the national firearms act and it's various regulations.
Exceptions to the rule, of course, are made. As I understand it, to be exempt, It must be constructed as to preclude modification to enable firing live ammo, and must be constructed of material making such modification unfeasable. I am sure there will be others with a better understanding of the rules posting, thereby, you should get complete information on these unique items.
